Shareholder Advisory

For founders, business families, non-executive shareholders and groups with several companies or investments in more than one country.

Who it is for and what problem

As a company grows, ownership drifts away from management. Shareholders receive financial statements, reports and explanations, but the information arrives in pieces: finance explains liquidity, accounting the results, lawyers the contingencies, and management defends its own decisions. Nobody puts them together from the owner's point of view.

What it is

The Shareholder Office: independent strategic advice that looks at the company from the perspective of whoever puts in and risks the capital. It does not run the company or replace management, the board or other advisers. It adds a second line of sight so the owner can ask better questions, decide better and see problems coming before it is too late.

What it includes

  • Protecting shareholder interests.* Independent review of investments, borrowing, guarantees, capital changes, dividends, strategic contracts and related-party transactions.
  • Corporate governance and management oversight.* The quality of the information that reaches the owners, approval levels, powers and accountability.
  • Tax strategy and tax risk.* The tax dimension before a relevant transaction is executed, not when the return is due or the audit arrives.
  • Wealth structuring and asset protection.* How shareholder, family, companies and investments relate, including across jurisdictions.
  • Strategic transactions.* Sales, acquisitions, mergers, new investors and financing, read from the owner's side.
  • Succession and continuity.* Rules so that the value built over years does not depend on a foreseeable event never happening.
  • The Shareholder Report.* An executive report that takes about ten minutes to read: priority issues, risks, pending decisions and an action plan.

How we work

  • In four repeating steps: understand the business and the family wealth, identify the issues that deserve the shareholder's attention, advise with alternatives, consequences and a recommendation, and follow up until every critical issue is closed.
  • It is a boutique model: the partner you hire is the partner who advises you. SABHA recommends; the decisions belong to the shareholder.
